To further these goals, HEALTHTRONICS has established a Code of Conduct and Compliance Plan (the "Compliance Plan" or "Plan') to assist its management, employees and affiliated providers in complying with State and Federal law and conducting business in an ethical manner.

To create a workplace which values commitment to honesty, fairness and compliance with the law, all employees must be familiar with and abide by these standards of conduct and ethics. The Code of conduct and the Plan are designed to assist HEALTHTRONICS employees and others in resolving issues of ethics, legal compliance and appropriate conduct in the workplace. HEALTHTRONICS depends upon and requires its employees and representatives to bring compliance issues to the attention of their supervisors or the Compliance Officer. If uncertainty exists, individuals should err on the side of reporting the issue to his or her supervisor or to the Compliance Officer so that it can be resolved.
